Thus, COMPANY shall be deemed the author and exclusive owner thereof and shall have the right to exploit any or all of the results and proceeds in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, in all languages, as COMPANY determines. In the event that any of the results and proceeds of your submissions hereunder are not deemed a “work made for hire” under Section 101 of the Copyright Act, as amended, you hereby, without additional compensation, irrevocably assign, convey and transfer to COMPANY all proprietary rights, including without limitation, all copyrights and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised, to such material and any and all right, title and interest in and to all such proprietary rights in every medium, whether now known or hereafter devised, throughout the universe, in perpetuity. Any posted material which are reproductions of prior works by you shall be co-owned by us.
You acknowledge that COMPANY has the right but not the obligation to use and display any postings or contributions of any kind and that COMPANY may elect to cease the use and display of any such materials (or any portion thereof), at any time for any reason whatsoever.
Limitations on Linking and Framing. You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us or by the Site. Message boards, chats and other public forums are intended to serve as discussion centres for users and subscribers. Information and content posted within these public forums may be provided by COMPANY staff, COMPANY’s outside contributors, or by users not connected with COMPANY, some of whom may employ anonymous user names. However, you acknowledge and agree that we have the absolute right to monitor the same at our sole discretion. In addition, we reserve the right to alter, edit, refuse to post or remove any postings or content, in whole or in part, for any reason and to disclose such materials and the circumstances surrounding their transmission to any third party in order to satisfy any applicable law, regulation, legal process or governmental request and to protect ourselves, our clients, sponsors, users and visitors.
We occasionally include access to an online community as part of our programs. We want every single member to add value to the group. Our goal is to make your community the most valuable community you’re a member of. Therefore, we reserve the right to remove anyone at any time. We rarely do this, but we want to let you know how seriously we take our communities.
Registration

Passwords

You can recover from Digital AutoPlay parties only direct damages up to an amount equal to your service charge for one month or the equivalent of $5 CAD (whichever is greater). To the extent permitted by law, you cannot recover any other damages from the Digital AutoPlay. parties, including consequential, lost profits, special, indirect, or incidental damages.
This limitation applies to anything related to the service, content (including code) on third party Internet sites, third party programs or third party conduct, viruses or other disabling features that affect your access to or use of the service, incompatibility between the service and other services, software, and hardware, delays or failures you may have in initiating, conducting or completing any transmissions or transactions in connection with the service in an accurate or timely manner, and claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort. It also applies even if this remedy does not fully compensate you for any losses, or fails of its essential purpose, or Digital AutoPlay. knew or should have known about the possibility of the damages.
Some provinces do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. They also may not apply to you because your province or country or region may not allow the exclusion or limitation of incidental, consequential, or other damages.
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE, INCLUDING OUR MESSAGING, BLOGS, COMMENTS OF OTHERS, BOOKS, EMAILS, PRODUCTS, OR SERVICES, OR THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE OR BY US IN ANY WAY, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. Refund Policy
At Digital Autoplay, our priority is to deliver exceptional services to our valued customers. We understand that situations may arise where you may need to request a refund, and we are committed to handling such requests with fairness and transparency in accordance with the Consumer Protection Act (CPA) in Canada.
Initial Setup Fee
Upon payment of the setup fee, our dedicated team immediately begins working on setting up your account and its associated services. Due to the nature of our services, if you request a refund after this process has commenced, only a portion of the setup fee may be eligible for refund, based on the extent of work completed on your account.
Partial Refunds
In the event that the customer requests a refund for the setup fee after work has begun but before the setup process is finalized, we may offer a partial refund. This partial refund will be calculated based on the proportion of work completed relative to the total scope of the project. To ensure equitable compensation for the services rendered thus far while accommodating the refund request, we will deduct a standard fee of $100 CAD for each day that has passed since the setup fee was charged.
Additionally, any charges incurred by Digital Autoplay through our payment processor, Stripe, will also be deducted from the refund amount.
For example: If the setup fee was $750 CAD and 4 days have passed since the fee was charged, we will deduct $100 CAD for each of the 4 days, totalling $400 CAD. In this example, deducting $400 CAD from the initial fee of $750 CAD results in a refund of $350 CAD to the customer. This approach aims to provide clarity and fairness in our refund process.
Refund Eligibility
Please be aware that in certain cases, depending on the progress of the setup process and the extent of work completed on your account, it may not be feasible to offer any refund for the setup fee. Each refund request is assessed on a case-by-case basis, considering the specific circumstances involved.
Refund Processing Time
Please note that refunds may take up to 7 business days to be processed. We strive to process refunds as quickly as possible, but the actual timeline may vary depending on factors such as banking processes and payment provider policies. Rest assured that we will make every effort to expedite the refund process and keep you informed of any updates regarding your refund status. We appreciate your patience and understanding in this matter.
Enforcement of Consumer Protection Act (CPA)
You have 15 days from the date of your purchase to enforce any rights under the Consumer Protection Act (CPA) in Canada. During this period, we are committed to working with you to ensure fair treatment based on the services already provided. However, once this 15-day period has passed, refunds will no longer be available.

Other
This Agreement shall be binding upon and inure to the benefit of COMPANY and our respective assigns, successors, heirs, and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of COMPANY. Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by COMPANY to any affiliated entity or any of its wholly owned subsidiaries.
These Terms of Use shall be governed by and construed in accordance with the laws of Toronto, On, Canada and any dispute shall be subject to binding arbitration In Toronto, ON, Canada. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
